Namchow Group has established the \"Board of Directors Performance Evaluation Measures.\" The board of directors shall conduct at least one internal performance evaluation of the board of directors annually. The scope includes the overall board of directors, board members, and the Compensation Committee and Audit Committee. In addition, an external evaluation shall be commissioned at least once every three years by an external professional and impartial third-party unit. The evaluation of Namchow Group's board of directors and functional committees primarily includes five aspects, with a total of 50 assessment items: participation in company operations, improvement of board decision-making quality, board composition and structure, director appointment and continuous training, and internal control; the performance evaluation of board members mainly includes six aspects: responsibilities for company goals and mission, understanding of director responsibilities, participation in company operations, management and communication of internal relationships, director expertise and continuous training (including promotion of laws and government policies), and internal control.<\/p>

The board of directors conducted a performance evaluation in 2025. The evaluation results were reported to the board on March 10, 2026, and the filing was completed in Q1 2026. Continuous improvement will be made on the items identified in the evaluation to optimize board governance performance.<\/p>\t\t\t\t\t\t\t\t<\/div>\n\t\t\t\t

In August 114, the company engaged the Chinese Corporate Governance Association to conduct an external evaluation of the Board of Directors' performance for 114 (period: 113\/9\/1-114\/8\/31). This organization and its expert evaluators have no business dealings with the company and possess independence. The evaluation, conducted through questionnaires and on-site visits, assessed five key aspects: Board composition and division of labor, guidance and supervision, delegation and risk management, communication and collaboration, and self-discipline and continuous improvement. The Chinese Corporate Governance Association issued the Board Effectiveness Evaluation Report on November 7, 114. The proposed recommendations and planned actions were presented to the Board of Directors on December 23, 114. In addition to maintaining the capacity of the executive unit, the participation of independent directors can further enhance the emphasis and exploration of sustainability issues. <\/td>\n \n Our company's current \"Sustainability and ESG Committee\" is effectively implementing its various promotional goals. The current self-assessment questionnaire indicators are primarily based on the reference examples provided by the Taiwan Stock Exchange Corporation in its Board of Directors Performance Evaluation Methods. It is recommended that your company review the current functions and division of labor of the board of directors and functional committees, as well as the company's phased development goals. Periodically review and adjust the board of directors' performance evaluation indicators to make the self-assessment results more discerning and better contribute to enhancing board effectiveness. <\/td>\n \n The performance evaluation indicators currently adopted by our board of directors are formulated with reference to the examples provided by the regulatory authority, taking into account the actual operations and needs of our board of directors. The content covers the overall board of directors, its members, and functional committees, and complies with current regulations.
